Terms of Service

The software is free, permanently — no trial, no seats, no card to sign up. We earn only when a client pays you by card through SupplyAxis: 0.3%, capped at $25 per invoice and $39per month, plus applicable sales tax — separate from, and in addition to, your card processor Stripe's own processing fee, which we never mark up. Cash and cheque payments cost you nothing.
Your client records are yours; we don't sell them or train AI on them. Money goes to your own Stripe account — we never hold your funds. You're responsible for what you send and for your own taxes.
01This agreement
These terms are between SupplyAxis and the business using it. By creating an account you accept them. If you are accepting on behalf of a company, you confirm you are authorised to do so.
SupplyAxis is available to businesses in Canada and the United States.
02Subscription
SupplyAxis is a paid subscription: $14.99/month for your first seat, and $11.99/month for every additional seat on your account. Every feature ships to every account — there is no higher tier to unlock, only the seat count you choose.
New accounts get a 14-day free trial of the full product. A card is required to start the trial, but you are not charged until it ends, and you can cancel before then at no cost.
The first 200 businesses to subscribe lock in $4.99/month for their first seat, for as long as the subscription continues without a lapse. Additional seats on a founding account still bill at $11.99/month each — the founding rate applies to the first seat only.
If your subscription lapses or a payment fails, you can still see your existing data — nothing is deleted or hidden — but you cannot create new jobs, quotes, or invoices, or add seats, until payment is current again.
Separately, we make money on card payments your clients make through the platform, described below.
03Fair use — AI Takeoff & Estimating
Your subscription includes a monthly allowance of 100AI credits per seat, sized to comfortably cover normal use for a business of your plan's size — a quick photo estimate uses 1 credit, a full multi-page takeoff uses 10. Usage beyond this allowance in a given billing month is billed automatically at $0.05 per credit, charged to the payment method on file. We will never block an in-progress estimate because of this limit.
04Fair use — text messaging
Your subscription includes a monthly allowance of outbound text-message segments — roughly 250per seat — sized to comfortably cover normal use for a business of your plan's size; operational alerts such as “on my way” and crew assignments are not counted against it. Usage beyond the allowance in a given billing month is billed automatically at $0.02 per segment, charged to the payment method on file. We will not block an outbound message because of this limit. Carrier and messaging-registration (A2P) fees required to send business text messages in the US and Canada may be passed through and, where they apply, will be itemised.
05Your account
Keep your credentials secure and don't share logins. You are responsible for activity under your account, including anything your team does. Tell us promptly if you think an account has been compromised.
You must be at least 18 and legally able to enter into contracts.
06Your data stays yours
The client records, quotes, jobs, invoices, photos and documents you put into SupplyAxis belong to you. We claim no ownership of them.
We use them only to provide the service to you — to store them, show them back to you, send the documents you ask us to send, and keep the system running. We do not sell them and we do not train AI models on them.
One exception, during our beta: content you put into an AI feature. A photo you send for an estimate, a drawing you send for a takeoff, the audio of a voice note — that content goes to the AI provider that produces the result, and during the beta those providers may use it to improve their own models. This applies only to what you submit to an AI feature, never to your stored records, and the AI features are optional. The Privacy Policy explains it in full. We will move to provider tiers that exclude training before the beta ends.
You can export your lists at any time from within the product. If you close your account, export first.
You are responsible for the client information you enter — for having the right to collect it, and for what you do with it. When you use SupplyAxis to hold it, we act on your instructions.
07What we charge, and when
When a client pays one of your invoices by card through SupplyAxis, we take a platform fee of 0.3% of that payment, subject to two ceilings:
- never more than $25 on a single invoice; and
- never more than $39 in a calendar month, across all payments.
Once you reach the monthly ceiling, further card payments that month carry no fee from us. Payments you record yourself — cash, cheque, bank transfer — are free, because we did not process them.
Any sales tax we are required to charge on this fee — GST/HST and any applicable provincial tax in Canada, or state sales tax in the United States — is added to the amounts above. The ceilings limit what SupplyAxis charges, not the total withheld: at the monthly ceiling in Ontario, $39 of fee carries $5.07 of HST. Where we are not registered to collect a tax, none is charged. This is tax on what we charge you, and is separate from the tax you charge your own clients.
Where tax is charged, we make a monthly statement available in the product showing each fee, the tax on it, and our tax registration number. If you are registered, that tax is normally recoverable by you as an input tax credit, so it is not an additional cost — but whether you can recover it depends on your own circumstances, and this is not tax advice.
This fee is separate from, and in addition to, the processing fee charged by Stripe (typically around 2.9% + $0.30per transaction). We do not mark up Stripe's fee and we do not negotiate it on your behalf. Current figures for your account are always shown inside the product.
We may change these figures. If we do, we will give notice in advance and the change will apply to payments processed after it takes effect — never retroactively.
08Payments run through Stripe
To accept cards you connect your own Stripe account and accept Stripe's terms. Money moves from your client to your Stripe account. SupplyAxis never holds your funds and cannot move them.
Chargebacks, refunds, and payout timing are between you, your client and Stripe. We will help you find the records, but we are not a party to the payment.
You are responsible for charging and remitting the correct taxes on your work. Tax rates you configure in SupplyAxis are applied as you set them; we do not verify them.
09Acceptable use
Don't use SupplyAxis to:
- break the law, or invoice for unlawful goods or services;
- send messages the recipient hasn't agreed to receive, or that breach anti-spam law such as CASL or CAN-SPAM;
- upload malware, or try to breach, overload or reverse-engineer the service;
- store data you have no right to hold, or use someone else's account;
- resell or white-label the service without our written agreement.
You are responsible for the messages you send through the platform, including having consent to email or text the recipient.
10Links you send to clients
Quotes and invoices you send generate a link containing a token, so your client can view and approve without creating an account. Anyone holding that link can view that document. Send it to the right address, and treat it as you would the document itself.
11Availability and changes
We aim to keep SupplyAxis available and improving, but we do not promise uninterrupted service. We may change, add or remove features. If we plan to remove something you depend on, we will give reasonable notice where we can.
Some features depend on third parties — Stripe, email and SMS delivery, accounting sync, AI providers. If one of those is unavailable, that feature may be too.
12No warranty
The service is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, that it will meet your requirements, or that calculations you configure — including tax rates and pricing — are correct for your situation. SupplyAxis is not a substitute for accounting, tax, or legal advice.
13Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, or data.
Our total liability arising out of or relating to the service is limited to the total platform fees you paid us in the twelve months before the claim. Where you have paid us nothing — which is the case for most accounts, because the software is free — that limit is nil, and your remedy is to stop using the service.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, in which case they apply only to the extent permitted.
14Ending it
You can stop using SupplyAxis and close your account at any time. Export your data first — closure begins deletion.
We may suspend or close an account that breaches these terms, creates a security or legal risk, or is used to harm others. Where circumstances allow, we will warn you first and give you a chance to export.
15Changes to these terms
We may update these terms. For material changes we will update the date above and notify account holders by email. Continuing to use SupplyAxis after a change takes effect means you accept it. If you don't, close your account.
16Governing law and contact
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and the courts of Ontario have jurisdiction — without limiting any right you have to bring a claim in your own jurisdiction where the law gives you that right.
